2. Intended Use Statement

All products offered by Optides LLC (collectively, "Products") are intended strictly and exclusively for in vitro laboratory research and development purposes only. Products are chemical reference materials and research reagents supplied for use in controlled laboratory environments by qualified professionals.

FOR RESEARCH USE ONLY — NOT FOR HUMAN OR ANIMAL USE.

"In vitro" means research conducted outside of a living organism, in an artificial environment such as a test tube, culture dish, or other controlled laboratory apparatus. All Products are sold solely for this purpose and no other.

3. Prohibited Uses

Products sold through this Site are NOT intended for, and must NOT be used for, any of the following purposes:

Optides LLC does not operate as, and is not registered, licensed, or authorized as:

A compounding pharmacy (503A facility) as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act (FD&C Act);
An outsourcing facility (503B facility) as defined under Section 503B of the FD&C Act;
A pharmaceutical manufacturer, pharmaceutical distributor, or pharmaceutical retailer;
A licensed pharmacy under any state Board of Pharmacy;
A medical provider, healthcare provider, clinic, hospital, or healthcare entity of any kind;
A veterinary pharmacy or veterinary drug manufacturer;

12. Buyer Responsibilities & Obligations

As a purchaser of Products from Optides LLC, you agree to the following ongoing responsibilities and obligations:

Proper use: Use all Products exclusively for lawful in vitro research purposes in compliance with all applicable laws, regulations, and institutional policies;
Safe handling: Handle all Products in accordance with applicable Safety Data Sheets (SDS), Good Laboratory Practice (GLP) standards, and all relevant safety protocols;
Proper storage: Store all Products under appropriate conditions (temperature, humidity, light exposure) as recommended on product labels and/or SDS documents;
Proper disposal: Dispose of all Products and associated waste materials in accordance with all applicable federal, state, local, and international environmental regulations, including EPA, RCRA, and state environmental agency requirements;
Record-keeping: Maintain records of Product purchases, usage, and disposal as may be required by applicable law or institutional policy;
No redistribution for misuse: Not redistribute, resell, transfer, gift, or otherwise provide Products to any individual or entity that you know or have reason to believe will use the Products for any prohibited purpose;
Compliance: Comply with all applicable laws, regulations, and institutional policies at all times;
Notification: Immediately notify Optides LLC if you become aware of any misuse, diversion, or illegal activity involving Products purchased from us.

13. Product Labeling Requirements

All Products shipped by Optides LLC are labeled:

This labeling is applied in accordance with applicable federal regulations, including but not limited to 21 CFR 809.10(c) (labeling requirements for research use only products) and other applicable federal and state labeling requirements.

As a condition of purchase, you agree that:

You will maintain all product labels, warnings, safety markings, and "Research Use Only" designations on all Products at all times;
You will not remove, alter, obscure, cover, deface, or destroy any product label, warning, or safety marking;
You will not repackage, relabel, rebrand, or remarket any Product in a manner that misrepresents its intended use, regulatory status, or origin;
You will not create, apply, or use any label, packaging, marketing material, or communication that suggests, implies, or states that a Product is suitable for human or animal use.

Violation of these labeling requirements may constitute a violation of federal and state law and may result in Account termination, order cancellation, and referral to appropriate authorities.

14. Handling, Storage & Disposal

You acknowledge and agree to the following requirements for the proper handling, storage, and disposal of Products:

Handling

Wear appropriate personal protective equipment (PPE) when handling Products, including but not limited to gloves, lab coats, safety goggles, and face shields as indicated by the applicable SDS;
Handle Products in a well-ventilated area or under appropriate containment (e.g., fume hood) as applicable;
Follow Good Laboratory Practice (GLP) standards and institutional safety protocols;
Do not eat, drink, smoke, or apply cosmetics in areas where Products are being handled;
Wash hands thoroughly after handling Products.

Storage

Store Products under the conditions specified on product labels and/or SDS documents (temperature, humidity, light, and incompatibility requirements);
Store Products in their original containers with labels intact;
Store Products in a secure location inaccessible to unauthorized persons, children, and animals;
Segregate incompatible chemicals according to standard laboratory storage practices.

Disposal

Dispose of Products and all associated waste in accordance with all applicable federal (EPA, RCRA), state, local, and international environmental regulations;
Do not dispose of Products via ordinary household waste, sewage systems, or uncontrolled release to the environment;
Utilize approved hazardous waste disposal services as required for the specific Product;
Maintain disposal records as required by applicable law and institutional policy.

Certificates of Analysis (COA): COAs are available for all Products and document testing methodology, purity percentages, identity confirmation, and any detected impurities.

COAs are provided as documentation of product specifications for research purposes only and do NOT constitute:

Acute and chronic toxicity;
Inhalation hazards;
Flammability and reactivity hazards;
Environmental contamination;

Risks arising from improper storage conditions (degradation, contamination);
Any and all other risks inherent to laboratory chemicals and research materials.

You acknowledge that you have the knowledge, training, experience, facilities, and equipment necessary to handle such materials safely and in accordance with all applicable safety protocols, regulations, and best practices.

17. Hazard Acknowledgment

You acknowledge and agree that:

Products may be toxic, corrosive, irritant, sensitizing, mutagenic, or otherwise hazardous if improperly handled, stored, or used;
Products are supplied without safety data relevant to human or animal exposure (therapeutic index, LD50 for administration routes, pharmacokinetic data, etc.) because they are not intended for such use;
Safety Data Sheets (SDS) provided with Products address occupational exposure hazards in a laboratory context only, and do not provide safety information relevant to deliberate human or animal administration;
The absence of a specific hazard warning does not mean that a Product is safe for human or animal use, ingestion, injection, inhalation, or any bodily contact;
Long-term effects of exposure to many research chemicals are unknown or poorly characterized, and the absence of known hazards does not imply safety;
Products may contain trace impurities, residual solvents, or other substances that are not characterized for safety in humans or animals.

18. Third-Party Information Disclaimer

Optides LLC is not responsible for and expressly disclaims any liability arising from:

Information, instructions, protocols, dosage guides, cycle guides, reconstitution instructions, or administration advice published by third parties on the internet, social media, forums, YouTube, TikTok, Reddit, blogs, podcasts, or any other platform;
Reviews, testimonials, comments, or user-generated content posted on our Site or on third-party platforms that may suggest, imply, or describe human or animal use of Products;
Influencer content, affiliate content, or any promotional material created by third parties that may misrepresent the intended use of Products;
Any information provided by other sellers, manufacturers, or distributors of similar products;

19. Prohibition of Misuse & Diversion

Any misuse, diversion, unauthorized application, improper handling, or redistribution of Products for purposes other than lawful in vitro research is strictly prohibited and may constitute a violation of:

The Federal Food, Drug, and Cosmetic Act (FD&C Act), including Sections 301, 501, and 502;
The Controlled Substances Act (CSA), 21 U.S.C. §§ 801 et seq.;
State pharmacy practice acts and regulations;
State consumer protection and deceptive trade practices laws;
Federal and state import/export control laws;
International drug control conventions and treaties;
Other applicable federal, state, local, and international laws.

Violations may result in civil and criminal penalties, including fines, imprisonment, product seizure, injunctions, consent decrees, and other enforcement actions by the FDA, DEA, DOJ, FTC, state attorneys general, and other regulatory and law enforcement agencies.

20. Reporting & Enforcement

Optides LLC takes compliance seriously and reserves the right to:

Refuse service, cancel orders, and terminate accounts of any individual or entity suspected of misuse, diversion, or illegal activity;
Report suspected misuse, diversion, or illegal activity to appropriate federal regulatory authorities (FDA, DEA, FTC), state regulatory authorities, and law enforcement agencies;
Cooperate fully with any government investigation, legal proceeding, subpoena, search warrant, or other legal process related to the misuse of Products;
Pursue all available legal remedies — including civil damages, injunctive relief, and recovery of attorneys' fees — against individuals or entities that misuse or divert Products or that cause harm to the Company through misuse;
Share information with regulatory agencies and law enforcement as permitted or required by law, without prior notice to the Customer.

We encourage anyone who becomes aware of misuse or diversion of research chemicals to report it to us and to the appropriate authorities.

21. Compliance with Applicable Laws

You are solely responsible for ensuring that your purchase, importation, possession, use, transportation, storage, handling, and disposal of any Product complies with all applicable:

Federal laws and regulations (FDA, DEA, EPA, OSHA, FTC, customs);
State laws and regulations (pharmacy boards, controlled substance laws, consumer protection, environmental regulations);
Local laws, ordinances, and regulations (county, municipal);
Institutional policies (university IRB requirements, corporate compliance programs, laboratory safety programs);
International laws and regulations (if applicable to your jurisdiction).

Optides LLC makes no representation or warranty that any Product is lawful to purchase, possess, import, use, or handle in your specific jurisdiction. It is your sole obligation to determine legality before placing an order.

22. Export Controls & International Buyers

Products may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). If you are located outside the United States:

You are solely responsible for compliance with all applicable import/export laws, customs regulations, and restrictions on research chemicals in your jurisdiction;
You will not export, re-export, transfer, or divert any Product in violation of any applicable export control law;
You acknowledge that Products may be seized, confiscated, destroyed, or delayed by customs or border control, and Optides LLC bears no responsibility for such actions;
Additional duties, taxes, and fees imposed by your country are your sole responsibility;
Optides LLC makes no representation that Products are lawful to import into any jurisdiction outside the United States.

23. Disclaimer of Warranties

ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, OPTIDES LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability;
Implied warranties of fitness for a particular purpose;
Warranties of non-infringement;
Warranties of accuracy or completeness of product descriptions, specifications, or COA data;
Warranties of results in any research application;
Warranties of sterility, endotoxin levels, or bioburden (unless specifically stated);
Any warranty arising from course of dealing, usage of trade, or course of performance.

The Company makes no warranties regarding the use, handling, or application of Products and shall not be held liable for any damages, injuries, or consequences resulting from the use, misuse, or improper handling of any Product.

24. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPTIDES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, MANUFACTURERS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, BODILY HARM, DEATH, PROPERTY DAMAGE, ENVIRONMENTAL DAMAGE, LOSS OF PROFITS, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM OR RELATED TO THE PURCHASE, POSSESSION, HANDLING, USE, MISUSE, OR DISPOSAL OF ANY PRODUCT.

OUR MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

25. Indemnification

You agree to indemnify, defend, and hold harmless Optides LLC and its officers, directors, employees, agents, affiliates, suppliers, and successors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or connected with:

Your use or misuse of any Product;
Your violation of this Disclaimer, our Terms of Service, or any applicable law;
Any bodily injury, death, property damage, or environmental damage caused by or related to your handling or use of Products;
Any third-party claim arising from your purchase, possession, distribution, or use of Products;
Any misrepresentation by you regarding your qualifications, intended use, or compliance with applicable laws.

This indemnification obligation survives termination of your account and this Disclaimer.

26. Waiver & Release of Claims

By purchasing Products from Optides LLC, you, on behalf of yourself and your heirs, executors, administrators, successors, and assigns, voluntarily and knowingly waive, release, discharge, and covenant not to sue Optides LLC and its officers, directors, employees, agents, affiliates, suppliers, manufacturers, and successors from and against any and all claims, demands, causes of action, suits, judgments, damages, losses, and liabilities of any kind — whether known or unknown, foreseen or unforeseen, existing or future — that may arise from or be connected to:

The purchase, receipt, possession, handling, storage, transportation, use, misuse, or disposal of Products;
Any personal injury, bodily harm, illness, disease, death, property damage, or environmental damage;
Any economic loss, consequential loss, or other damages of any nature;
